The Private Investment Spectrum in Divorce: Understanding Everything from Angel Investors to Early Round Funding to Venture Capital to Private Equity

This fast-paced session will delve into and assist the practitioner in better understanding the many and varied ways private investments are made in companies, ranging from angel investors to early round funding to later-stage, income-producing mature venture capital structures.  Attendees will gain insight into various vehicles investors use to structure private investments, including a look at debt, equity, common versus preferred stock, types of preferred holdings, warrants and convertible securities.  A deep dive will be taken into thorny issues such as conversion and dilution of holdings and how these can directly impact the manner in which a separation or divorce agreement should be drafted.  The session will also provide an overview of private equity structures, common issues to be aware of regarding ways in which private equity holdings can (and cannot) be divided, and solutions to consider when addressing these issues.
